Canada44.ca Terms & Conditions

This agreement contains conditions applicable to keyword bid account advertisers/agencies are hereafter referred to as advertisers, and affiliate program members hereafter called affiliates.

Canada44.ca is a subsidiary of PPC Media Inc, a Canadian registered company. All prices displayed on Canada44.ca web site are in Canadian Dollars.

Advertisers

1. General. A deposit must be submitted to Canada44.ca in advance of initial advertising date. By submitting a listing for inclusion on Canada44.ca results display, advertiser/agency agrees to be bound by the terms of this contract.

No conditions other than those specified herein shall be binding on Canada44.ca. This contract supersedes any previous agreements between Canada44.ca and advertiser/agency relating to the subject matter set forth herein. In no event shall Canada44.ca be obligated to serve advertisements under any other conditions.

2. Changes and Cancellations. Cancellations and changes can be made via the advertiser login. Canada44.ca's advertising specifications are accessible through the advertiser login. Canada44.ca reserves the right to change any of its advertising specifications at any time.

3. Delivery, Frequency and Makegood. All figures relating to the number of advertisements served as determined by Canada44.ca shall govern, regardless of whether advertiser/agency is using the services of a third party ad server. If Canada44.ca fails to provide the guaranteed number of clicks, Canada44.ca will make good on this contract.

4. Key Words and Phrases. Canada44.ca offers no exclusivity on keywords or phrases. Each advertiser will be given ranking positions based upon the bid they enter on keywords/phrases.

5. Rejections. Canada44.ca reserves the right, without liability, to reject, omit or exclude any advertisement or to reject or terminate any links, buttons, boxes or banners for any reason at any time, with or without notice to the advertiser/agency, and whether or not such advertisement, link, button, box or banner was previously acknowledged, accepted, or published.

6. Refund. Advertiser/agency can request a refund of their remaining balance at any time. The refund will be made by check (no fee) or wire transfer ($20 fee) only. The fist deposit made by advertiser/agency is not refundable and will cover the account setup fees if it is not used by advertiser/agency.

7. Taxes. Canadian customers will pay 7% federal sale taxes (GST). Quebec customers will also pay 7.5% provincial sale taxes (PST).

8. Licenses and Indemnification. Advertiser/agency grants Canada44.ca the right to use, reproduce, publicly display and distribute advertiser's advertisments and collateral information and warrants that advertiser/agency has the right to grant such license. Advertiser/Agency represents that the advertiser is the owner or is licensed to use the entire contents and subject matter contained in its advertisements and collateral information, including, without limitation, (a) the names and/or pictures of persons; (b) any copyrighted material, trademarks, service marks, logos, and/or depictions of trademarked or service marked goods or services; and (c) any testimonials or endorsements contained in any advertisement submitted to Canada44.ca. In addition, advertiser/agency represents that the advertiser's advertisements and collateral information do not violate any applicable local, state or federal law or regulation. In consideration of Canada44.ca's acceptance of such advertisements and information for publication, the advertiser and agency will jointly and severally indemnify and hold harmless Canada44.ca and its officers, directors, shareholders, employees, accountants, attorneys, agents, parent, affiliates, subsidiaries, successors and assigns from and against any and all third party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to: (i) advertiser/agency's breach of any covenants, representations and warranties made therein, (ii) Canada44.ca's performance under this contract, and (iii) the copying, printing, distributing, transmitting or publishing of advertiser's/agency's advertisements or collateral information by Canada44.ca.

Affiliate program.

By signing up with Canada44.ca affiliate program you agree to be bound to the following the terms and conditions below.

Definitions:

Valid Clickthroughs ("CT") - the action of a human user clicking on a hypertext link, which subsequently directs the user's browser to the destination website associated with the Paid Listing, subject to the following constraints:

1. The action may not be initiated or executed employing any non-human processes including robots, spiders, scripts (or other software), mechanical automation of clicking applied to the user's mouse or keyboard, or any other non-human clicking agent.

2. The action may not be fraudulent or appear to be fraudulent in nature according to the sole reasonable discretion of Canada44.ca and/or any of its data feed suppliers.

3. CT's from a previously blocked IP address(s), which has been deemed by Canada44.ca or it's data feed supplier to be a probable source of fraudulent activity.

4. CT's originating or routed through countries other than Canada and United States, will be rejected.

Other Conditions:

5. All clicks are to be generated from voluntary searches conducted by visitors from your active available website only.

6. Affiliate understands that incentivizing of clicks in any manner whatsoever is strictly prohibited and grounds for immediate account termination and forfeiture of unpaid earnings. This includes creating any inciting searches as a part of any "click club" or "search" program where member compensation is based upon their "obligation" or "instruction" "rule" "guideline" to conduct a search and subsequently click an advertiser listing hyperlink is strictly prohibited.

7. The searchbox or banner may only be displayed on a fully English content web page.

8. The searchbox or banner shall not be displayed in conjunction with content or links that access pornography, hate, violence, vulgarity or other "undesirable" actions or material

9. No modification to the search boxes or banners without prior authorization from Canada44.ca

10. Affiliates will be paid 50% of total gross revenue Canada44.ca earns from a visitor click-through to a paying advertiser's website.

11. Affiliates may receive only 1 click to an advertiser site from the same IP address every 24 hours.

12. Canada44.ca can cancel your account at any time if at our sole consideration we feel you are in violation of these terms.

13. Payment can be requested after accumulating at least $25 in earnings. Canada44.ca issues payouts on a monthly basis. Payments are made by checks or wire transfer. $20 payment fee will apply for wire transfers. There are no fees associated with checks payments.

14. Payments are made on Canadian dollars only.

15. Affiliate must have a Canadian web site or an important % of Canadian traffic in order to participate on our affiliate program.

16. All affiliates applications must be approved by Canada44.ca in order to participate in our affiliate program. Once approved, affiliate receive his affiliate account details by email. No email will be sent to rejected applications. Canada44.ca reserve the right to reject any affiliate application at his sole discretion.

Limitation of Liability. UNDER NO CIRCUMSTANCES WILL CANADA44.CA BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATON, FOR LOST INCOME OR PROFITS, IN ANY WAY ARISING OUT OF OR RELATED TO THIS CONTRACT, EVEN IF Canada44.ca HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES.
